CORPORATE GOVERNANCE STATEMENT
The Board’s evaluation and assessment covers areas such as Board Composition, Board Information,

and their individual performance, the results of which are consolidated, analysed and discussed within
the NC, which includes a comparison with the results of the preceding financial year. As part of the
evaluation carried out by the Board, members of the Board considered whether fellow members

allows the Board to make comparisons with industry peers and its own performance for preceding years.
Based on the evaluation and assessment carried out by the NC on the Board and each Director for
FY2016, it is the Board’s collective view that the Board and the Board Committees have operated
effectively and each Director is contributing to the overall effectiveness of the Board.
Principle 6: Access to Information
To enable the Board to fulfil its responsibilities, it is provided with accurate, complete and timely
information facilitated by the Company Secretary.
Board activities are scheduled prior to the commencement of each year. The Company Secretary
attends all Board meetings, ensures that Board procedures are complied with, and provides advice
and guidance on corporate governance, legal and regulatory compliance matters. Under the direction
of the Chairman (and where relevant the chairpersons of each Board Committee), the Company
Secretary facilitates and acts as a channel of communication between management and members of
the Board, thereby ensuring a smooth flow of information.
Members of the Board have direct and unrestricted access to management and the Company
Secretary. Members of management are invited to attend both Board and Board Committee meetings
